Terms of Service

These Terms are the agreement between you and EveryAPI ("we" or "the Service") regarding your use of everyapi.ai and the accompanying clients, API, and console. Please read them in full before you register, pay, or make any calls; checking the agreement box or beginning to use the Service is deemed acceptance of these Terms in their entirety. Provisions marked in bold involve limitations of liability or adjustments to rights and obligations, so please review them carefully.

01Description of the Service

EveryAPI is an AI model aggregation gateway for developers and enterprises: with a single EveryAPI-issued key, you can call models from multiple providers — OpenAI, Anthropic, Google, xAI, DeepSeek, and others — through one unified interface. We operate key management, call forwarding, usage-based billing, the console, and documentation; the models and their output are supplied through the respective providers and remain subject to their terms and policies.

The Service also includes a credit-hosting and revenue-sharing platform for channel providers ("Channel Providers"). A Channel Provider may attach its resellable credits held with upstream providers to the EveryAPI gateway, which matches calls and shares revenue based on settled results. Channel Providers must separately accept the supplementary terms applicable to them (see Section 7).

02Account and Registration

2.1 Eligibility

You must be at least 18 years old, or considered an adult in your jurisdiction, and have full legal capacity to enter into contracts; if registering as an enterprise, you must have a duly authorized representative. Children under the age of 14 may not register for or use the Service.

2.2 Account Security

You must safeguard your login credentials and API keys, and may not share, resell, or publicly disclose them. All actions initiated through your account or keys are deemed to be your own or duly authorized by you, and you bear the corresponding consequences. If you discover that a key has been leaked or your account compromised, you must immediately rotate the key in the console and contact us.

2.3 Account Information

You must provide true, accurate, and complete registration information and update it promptly when it changes. We may require you to complete necessary identity verification to meet anti-fraud and compliance requirements.

03Acceptable Use

When using the Service, you must comply with applicable laws and regulations and the policies of upstream model providers, and may not engage in any of the following:

  • Infringing others' intellectual property, privacy, likeness, reputation, or other lawful rights and interests;
  • Generating or disseminating content prohibited by law, including but not limited to incitement to subversion, violence, terrorism, child sexual exploitation, severe discrimination, or unlawful operational advice in the medical / legal / financial fields;
  • Using it for unauthorized security testing, attacks, or exploitation of vulnerabilities, or scanning, intruding into, or disrupting others' systems;
  • Circumventing or defeating our quota, billing, risk-control, or content-moderation mechanisms, including but not limited to automated bypassing of verification, abuse of trial credits, or using volume manipulation to obtain refunds;
  • Reselling, lending, or embedding keys in clients distributed to the general public as plaintext;
  • Without our written consent, scraping, stress-testing, reverse-engineering, or running and publishing benchmarks against the gateway interface;
  • Impersonating EveryAPI, model providers, or other users, or otherwise misleading others.

We reserve the right, under the law or these Terms, to take measures against violating accounts including risk-control warnings, rate-limiting, suspension, deactivation, and pursuit of legal liability.

04Pass-Through of Upstream Provider Terms

Because EveryAPI is a gateway that forwards your requests to upstream providers, you are directly bound by the upstream providers' usage policies and acceptable use norms. Before calling a given model, you should read and comply with that model's provider policy on your own (for example, the OpenAI Usage Policies, the Anthropic Acceptable Use Policy, the Google AI Terms, and so on).

If your calls are rejected, rate-limited, or banned for violating upstream provider rules, or cause a dispute, fine, or compensation between EveryAPI and an upstream provider, you bear any resulting losses; we reserve the right to seek recovery from you.

05Billing, Top-Ups, and Refunds

5.1 Billing Method

The Service is billed by usage, with unit prices published in the console by model type, token count, and add-on features (such as batch, vision, and audio). Billing precision is determined by our backend metering; where upstream provider metering is disputed, we will resolve it with you based on the best available evidence.

5.2 Top-Ups and Balance

You must top up in advance to call paid models. The balance created by a top-up is prepaid consideration for services, credited to your account to offset subsequent consumption, and bears no interest and is non-transferable. To the extent permitted by applicable law, the balance never expires, except where the account is deactivated or terminated for a violation.

5.3 Refunds

If you believe a charge resulted from a service failure attributable to us or an obvious metering error, contact support with the request ID and usage record. Refund eligibility is reviewed under the cases below and applicable law; sending a request does not guarantee approval:

  • Where an EveryAPI system failure caused a request not to actually reach the upstream provider but it was still charged;
  • Overcharges caused by obvious metering anomalies or billing bugs;
  • Cases where a refund is mandatorily required by law or regulation.

Charges arising from changes in upstream provider policies, changes in model behavior, the user's own misuse, or violations of Sections 3 / 4 are not within the scope of refunds.

5.4 Invoices

Where invoicing is offered for your account, entity, payment method, and jurisdiction, follow the instructions shown in the app or provided by support. Availability, required information, eligible amount, and timing may vary.

06AI Output and Disclaimer

The model output forwarded by the Service is generated by upstream providers and may contain erroneous, outdated, fabricated, or offensive content. We make no warranty as to the accuracy, completeness, fitness for purpose, or non-infringement of model output. Before using model output for any decision, external publication, commercial purpose, or medical / legal / financial advice, you should independently review it and assume the risk yourself.

Disputes between you and your end users arising from the use of model output (such as content infringement, misleading information, or erroneous decisions) are to be handled by you independently, and you are responsible to your end users; if such a dispute involves us, you must cooperate in handling it and, to the extent permitted by law, compensate us.

07Supplementary Terms for Channel Providers

If you earn revenue shares by attaching credits on the EveryAPI platform as a Channel Provider, then in addition to the other sections of these Terms, you must also comply with the supplementary provisions in this section:

  • You are responsible for the lawful holding and right to dispose of the attached credits, ensuring no violation of your agreements with upstream providers; you bear any resulting disputes independently.
  • Revenue-sharing and transfer rules, including the applicable platform take rate, are determined by the marketplace configuration and any account-specific override recorded for the transaction. The dashboard is authoritative; rules may change with notice where required.
  • If an upstream provider terminates your account, adjusts credits, or claws back charges retroactively, the corresponding in-transit orders may not settle; we will settle with you based on the amount actually settleable.
  • You must ensure that the attachment does not violate the laws, regulations, and tax obligations of your jurisdiction, and handle taxes arising from revenue-share income yourself.

08Intellectual Property

Intellectual-property rights in the Service — including the website, documentation, clients, console, and SDKs — belong to us or the relevant licensors. Open-source components and repositories remain subject to their applicable licenses, and upstream models and proprietary provider content remain the property of their respective owners. Provided you comply with these Terms, we grant you a non-exclusive, non-transferable, revocable limited license to use the Service in the ordinary manner.

The ownership and handling of the prompts you input and the output you obtain from models are governed by the respectively applicable provider policies and the laws of your jurisdiction; we claim no additional rights to them.

09Service Availability and Changes

We strive to keep the Service continuously available, but make no absolute commitment to a specific availability rate or response latency unless expressly agreed otherwise through an SLA. We may change the scope of the Service, the model list, prices, quotas, and interface specifications based on operational, security, compliance, or upstream provider policy adjustments; where a change has a material impact on your rights, we will give advance notice via in-site announcement or email.

For service interruptions caused by maintenance, upgrades, failures, or force majeure, we will make commercially reasonable efforts to restore service promptly. If you believe you were charged for a request affected by an interruption, submit the request ID and usage record for review under Section 5.3.

10Termination

You may stop using the Service and request account deactivation at any time through the console. If you violate these Terms, upstream provider policies, or applicable law, or if we deem it necessary for compliance, risk-control, or security reasons, we may suspend or terminate your account and keys, and handle the remaining balance after deducting payable fees from the unused balance (except for liquidated damages and recovery rights in cases of violation).

After account termination, the provisions of these Terms regarding intellectual property, limitation of liability, dispute resolution, confidentiality, and others that by their nature should survive termination remain in effect.

11Limitation of Liability

To the maximum extent permitted by applicable law, we and our affiliates, employees, agents, and service providers are not liable for any indirect, incidental, special, punitive, or consequential losses (including but not limited to loss of profits, loss of goodwill, loss of data, or business interruption) arising from the use of or inability to use the Service (including AI model output), regardless of whether such loss is based on contract, tort, or any other legal theory.

In any event, our aggregate liability in respect of the Service does not exceed the total service fees you actually paid us in the 12 months preceding the event giving rise to the claim, or CNY 1,000, whichever is higher.

The above limitations do not apply to liability that the law expressly prohibits from being excluded or limited, such as liability for personal injury or damage caused by intent or gross negligence.

12Indemnification

You agree to indemnify and hold harmless us and our affiliates, employees, agents, and service providers for the following reasons: your violation of these Terms; your violation of applicable law or third-party rights (including but not limited to upstream provider policies); and the inputs you submit to the Service or actions you take based on model output.

13Force Majeure

Where force majeure events such as war, natural disasters, government actions, cyberattacks, telecommunications failures, or major incidents at upstream providers cause a party to delay or be unable to perform these Terms, the affected party bears no liability for breach, but must promptly notify the other party and take reasonable measures to mitigate the loss.

14Governing Law and Dispute Resolution

The formation, effectiveness, interpretation, performance of, and dispute resolution under these Terms are governed by the laws of the People's Republic of China (excluding conflict-of-laws rules and the laws of the Hong Kong, Macao, and Taiwan regions). Any dispute arising from or related to these Terms shall first be resolved by the parties through friendly negotiation; if negotiation fails, it shall be submitted for litigation to the people's court with jurisdiction at EveryAPI's principal place of business.

15Miscellaneous

15.1 Changes to the Terms

We may update these Terms from time to time. Significant updates will be notified to you via in-site announcement, email, or a prominent prompt in the console, and the "effective date" at the top of this page will be updated. Continuing to use the Service after a change takes effect is deemed acceptance of the update; if you disagree, please stop using the Service and contact us.

15.2 Severability

If any provision of these Terms is found by an authority with jurisdiction to be invalid or unenforceable, that provision shall be deemed invalid only to the minimum extent necessary, without affecting the validity of the other provisions.

15.3 Entire Agreement

These Terms, together with the Privacy Policy and any supplementary agreements separately signed between us and you (such as an SLA, enterprise contract, or Channel Provider agreement), constitute the entire agreement between you and us regarding the Service.

15.4 Assignment

Without our written consent, you may not assign your rights and obligations under these Terms to any third party. We may, with notice to you, assign our rights and obligations under these Terms to an affiliate or to a successor in a business merger / reorganization.

15.5 Language Versions

These Terms are governed by the Simplified Chinese version; if any other language version we provide is ambiguous compared with the Chinese version, the Chinese version prevails.
